To provide legal and compliance support to the Bank's Capital Markets businesses, comprising ECM, DCM and M&A advisory.
To contribute to the development of a strong legal and compliance culture in the DBS Group to comply with laws, regulations and ethical standards in the Capital Markets business, thereby protecting the reputation of the DBS Group.
To advise on the legal and regulatory requirements to support the Capital Markets business and to assist the business to put in controls to adhere to them.
Clear and effective communication of key laws, regulations and compliance policies applicable to the business; good understanding of key laws, regulations and compliance policies by staff in business.
Identification and minimization of regulatory issues and legal risks in the business.
Ensuring compliance with relevant laws, regulations and policies by developing appropriate and adequate compliance procedures.
Liaise and resolve with regulators on regulatory issues and areas requiring clarifications.
Identify early key regulatory issues of concern to regulators.
Track outstanding issues.
Co-ordinate inspections involving the business.
Provide timely and sensible legal and regulatory advice, including providing advice on cross-border and domestic requirements relating to Cap Markets.
Review regulations and transaction documents, including external transaction documents (e.g. underwriting, subscription and placement agreements) and internal documents (e.g. new product approval documentation and internal policies and standards).
Work and liaise with external counsel, counterparty or other transaction parties in the review and negotiation of documentation.
Develop, implement and update suitable compliance programs for the testing and monitoring of certain key regulatory obligations.
Provide responsive, sound & consistent advice, interpretation and recommendation on regulations and policies; review impact of new / amended regulations, provide feedback on proposed regulations to the business and advise on relevant processes to ensure compliance with new regulations.
Review, disseminate and advise on applicable regulatory developments, including coordinating feedback/ submissions on Consultation Papers for the Business Units.
Develop / review training material on banking regulations; assess training needs of staff in Cap Markets.
Provide in-house training/education to ensure compliance with Bank's ethical standards, Cap Markets policies & local regulations.
About 6 - 8 years of working experience in legal and compliance/capital markets business environment.
Detailed understanding of the prevailing laws and regulations relevant to the Cap Markets business.
Legal background with familiarity on issues relating to ECM/DCM/ M&A, including offering and underwriting of securities under Singapore laws and where relevant, U.S. securities laws.
Degree or professional qualification in law from a reputable university.
Relevant legal, compliance and banking experience as a lawyer or regulatory examiner, with exposure to different banking products and businesses.
Communication skills with ability to clearly and diplomatically articulate issues, solutions and rationales.
High degree of judgement and good problem solving skills; results-oriented to ensure sound implementation of control and compliance processes/procedures.
Strong knowledge of Banking Act, MAS Notices, Securities and Futures Act, Financial Advisors Act, SGX Rules, and financial services laws and regulations).
Strong understanding of capital markets, banking law and product knowledge together with good understanding of compliance best practices in relevant financial services and investment banking activities.
Establish and maintain good working relationship with regulators.
Good leadership skills will be a plus.
